Please read these MoFi Network, Inc. Terms and Conditions (“Terms and Conditions” or “Agreement”) carefully. This Agreement affects Your legal rights.
IF YOU USE THE MOFI NETWORK PRODUCT (AS DEFINED BELOW), YOU AGREE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DISCONTINUE USE AND RETURN THE PRODUCT IN GOOD CONDITION WITHIN THIRTY (30) CALENDAR DAYS FROM THE DATE OF ORIGINAL PURCHASE FOR A REFUND, SUBJECT TO THE TERMS OF THIS AGREEMENT. REFER TO SECTION 8 FOR SUBSCRIPTION CANCELLATIONS.
These Terms and Conditions are between You (“You” or “User”) and MoFi Network, Inc. (“MoFi Network,” “Company,” “we,” “us,” or “our”) concerning Your use of (including any access to) devices, hardware, software, firmware, services (including subscription and cloud-based services), and other information and materials provided on or in connection with such devices or services, including but not limited to documentation, graphics, illustrations, pictures, photographs, and videos (individually and collectively, the “Product” or “Products”) provided by MoFi Network, Inc., its subsidiaries, and affiliates.
In some instances, both these Terms and Conditions and separate terms will apply to Your use of the Product (“Additional Terms”). To the extent there is a conflict between these Terms and any applicable Additional Terms, the Additional Terms will control unless they expressly state otherwise.
Your consent to these Terms and Conditions is required in order to use Your MoFi Network Product. If You do not accept these Terms and Conditions, You must return the Product in good condition within thirty (30) calendar days from the date of original purchase for a refund, subject to the terms of this Agreement.
YOU AGREE TO THE MANDATORY INDIVIDUAL ARBITRATION AND CLASS ACTION/JURY TRIAL WAIVER PROVISIONS, DESCRIBED FULLY IN SECTION 4, TO RESOLVE ANY DISPUTES WITH MOFI NETWORK.
IF YOU SIGN UP FOR ANY MOFI NETWORK SUBSCRIPTION SERVICES, YOU FURTHER AGREE, AS DESCRIBED IN SECTION 7, THAT YOUR SUBSCRIPTION MAY AUTOMATICALLY RENEW FOR THE SAME APPLICABLE TERM AND PRICE, UNTIL YOU CANCEL.
1. ACCEPTANCE OF THE TERMS AND CONDITIONS
1.1 These Terms and Conditions may be accepted by clicking an “I accept” button or checking a checkbox if such button or function is available or present via the user interface for the respective Product. You also accept the Terms and Conditions when You access, install, configure, or start to use the Product.
1.2 By using the Product, You affirm that You are of legal age to enter into these Terms and Conditions in Your jurisdiction. You may not use the Product if You are: (a) a person who is not of legal age or otherwise not entitled to form a binding contract with MoFi Network, or (b) a person who is barred from receiving the Product under the laws of any country, including the country in which You are a resident or from which You are using the Product.
1.3 If You are an individual accessing or using the Product on behalf of, or for the benefit of, any corporation, partnership, or other entity with which You are associated (an “Organization”), then You are agreeing to these Terms and Conditions on behalf of Yourself and such Organization, and You represent and warrant that You have the legal authority to bind such Organization to these Terms and Conditions. References to “You” and “Your” in these Terms and Conditions will refer to both the individual using the Products and to any such Organization.
2. DEFINITIONS
2.1 “Product” or “Products” means, individually and collectively, all MoFi Network hardware devices (including routers, modems, and networking equipment), firmware, software, cloud-based services, subscription services, web interfaces, management portals, and any documentation, updates, or materials provided by MoFi Network in connection therewith.
2.2 “Services” means any services provided by MoFi Network, including but not limited to: VPN services (including WireGuard and other VPN protocols), CloudLink static IP services, ACS (Auto-Configuration Server) remote device management, Captive Portal services, Multi-WAN and failover management, cellular connectivity management, SMS messaging tools, firmware update services, and any other cloud-based, subscription-based, or device-based service offered by MoFi Network.
2.3 “Software” means the firmware, software, web interface, and any applications or tools embedded in, installed on, or provided in connection with MoFi Network Products, including all updates, patches, and upgrades thereto.
2.4 “Subscription Services” means any MoFi Network Services that are offered on a recurring subscription, time-limited, or usage-based basis.
3. INFORMAL DISPUTE RESOLUTION
3.1 MoFi Network would like an opportunity to address Your concerns without a formal legal case. Before filing a claim against MoFi Network, You agree to try to resolve the dispute informally by contacting le***@*********rk.com. MoFi Network will try to resolve the dispute informally by contacting You in writing via email.
4. DISPUTE RESOLUTION BY BINDING ARBITRATION; CLASS ACTION WAIVER
4.1 Agreement to Arbitrate. You and MoFi Network agree to arbitrate any and all disputes or claims arising out of, in connection with, or relating to these Terms and Conditions, Products, Services, and the relationship between You and MoFi Network, including any claims that may arise after the termination of this Agreement, including but not limited to claims relating to advertising, product performance, or efficacy of the MoFi Network Products. All disputes concerning the arbitrability of a claim (including disputes about the interpretation, breach, applicability, enforceability, revocability, or validity of this Agreement) shall be decided by the arbitrator. This agreement includes any claims against MoFi Network’s employees, agents, officers, directors, or any subsidiaries or affiliates of MoFi Network. Arbitration is a method of claim resolution that is less formal than a traditional court proceeding. It uses a neutral arbitrator instead of a judge or jury and is subject to limited review by courts.
4.2 Arbitration Procedure. The arbitration will be governed and administered by the American Arbitration Association (“AAA”) under its then-current Consumer Arbitration Rules, by one (1) commercial arbitrator with substantial experience in resolving technology, intellectual property, and commercial contract disputes, who will be selected in accordance with the AAA’s rules and procedures. Arbitration may be conducted remotely, including via video conference, telephone, or written submissions, unless otherwise required by applicable law. MoFi Network’s Products and relationship with You involve interstate and international commerce, and this arbitration agreement is governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.). The language of the arbitration shall be English.
4.3 CLASS ACTION WAIVER. YOU AND MOFI NETWORK AGREE THAT EACH IS GIVING UP THE RIGHT TO A JURY TRIAL AND THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITIES, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION LAWSUIT, REPRESENTATIVE PROCEEDING, CONSOLIDATED ACTION, OR PRIVATE ATTORNEY GENERAL ACTION.
4.4 Further, the arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of a representative or class proceeding, consolidated action, or private attorney general action. If this specific provision, known as the “Class Action Waiver,” is found to be unenforceable, it cannot be severed from this arbitration agreement, and the entirety of this arbitration provision shall be null and void.
4.5 Changes to Arbitration Provision. Notwithstanding any provision in this Agreement to the contrary, You agree that if MoFi Network makes any future, material change to this arbitration provision, You may reject any such change by sending written notice within thirty (30) calendar days of the change to le***@*********rk.com. Your decision to reject changes in a new arbitration provision, however, does not affect any prior arbitration provisions to which You have already agreed, which would still remain in effect.
4.6 Opt-Out of Arbitration. This arbitration provision is optional. You may decline or opt out of this agreement to arbitrate by sending written and signed notice to le***@*********rk.com within thirty (30) calendar days of purchasing Your MoFi Network Product or first using a MoFi Network Service. Your written notice must include Your full name, mailing address, and a clear statement that You wish to opt out of the arbitration provision. If You opt out of this arbitration provision, all other parts of these Terms and Conditions will continue to apply to You. Opting out of this arbitration provision has no effect on any previous, other, or future arbitration agreements that You may have with MoFi Network.
4.7 Judgment. Judgment upon the arbitration award may be entered in any court having jurisdiction, or application may be made to such court for judicial acceptance of any award and an order of enforcement, as the case may be.
4.8 Consumer Protection Savings Clause. Nothing in this Section 4 is intended to override mandatory consumer protection legislation in Your jurisdiction that cannot be waived by agreement. If any provision of this Section 4 is found to be unenforceable under the mandatory consumer protection laws of Your jurisdiction, that provision shall be modified to the minimum extent necessary to comply with such laws, and all remaining provisions shall remain in full force and effect.
5. CHANGES TO THE TERMS AND CONDITIONS
5.1 MoFi Network may at its discretion modify, update, add to, discontinue, remove, or otherwise change these Terms and Conditions at any time. Each such modification will take effect upon notification to You. MoFi Network may provide You with notices, including those regarding changes to these Terms and Conditions, by email, posting on its website at https://mofinetwork.com/terms, through in-product notifications, or other reasonable means now known or hereinafter developed.
5.2 Your continued use of the Product following any such notification constitutes Your acceptance of such modifications and Your agreement to be bound by these Terms and Conditions as amended. If You do not agree to any modification of these Terms and Conditions, Your sole remedy is to discontinue Your use of the Product and, if applicable, to cancel Your Subscription Services. The most current version of these Terms and Conditions will be available at https://mofinetwork.com/terms and supersedes all previous versions.
6. SUBSCRIPTION SERVICES
6.1 Subscriptions. MoFi Network may offer certain Products and Services on a subscription basis (“Subscription Services”). Your subscription period is stated in Your subscription plan, and Your subscription fee will cover the Services and content described in Your subscription plan.
6.2 Non-Refundable Fees. Subscription fees are non-refundable except as required by applicable law or as otherwise specifically permitted in this Agreement or any applicable Additional Terms.
6.3 Service Availability. MoFi Network does not guarantee uninterrupted availability of any Subscription Service. Subscription Services may be subject to scheduled or unscheduled maintenance, outages, or interruptions. MoFi Network shall not be liable for any loss, damage, or inconvenience caused by the unavailability of any Subscription Service.
7. PAYMENT AND AUTOMATIC RENEWAL
7.1 Payment. You agree that You will pay for any Subscription Services and other Products or Services You purchase from MoFi Network, and that MoFi Network (or its third-party payment processor) may charge Your credit card, debit card, or other payment method for those Products and Services.
(a) You further acknowledge that the amount billed may vary due to promotional offers, subscription preferences that You select, changes in applicable taxes or other charges, and You authorize MoFi Network (or its third-party payment processor) to charge Your payment method for the corresponding amount.
(b) YOU ARE RESPONSIBLE FOR THE TIMELY PAYMENT OF ALL FEES AND FOR PROVIDING MOFI NETWORK WITH A VALID PAYMENT METHOD FOR PAYMENT OF ALL FEES.
7.2 Automatic Renewal. If Your Subscription Service is set to automatically renew, YOU AGREE THAT MOFI NETWORK MAY CHARGE YOU AUTOMATICALLY AT THE END OF ANY TRIAL PERIOD OR AT THE RENEWAL DATE, UNLESS YOU NOTIFY MOFI NETWORK IN ADVANCE THAT YOU WANT TO CANCEL OR DISABLE AUTO-RENEWAL. MoFi Network reserves the right to revise Subscription Service rates at any time. Your continued use of the Subscription Service after any rate change constitutes Your acceptance of the revised rate. It is Your responsibility to review Your subscription details periodically.
7.3 Recurring Payments. When You purchase Subscription Services on a recurring basis (e.g., monthly or annually), You agree that You are authorizing recurring payments, and payments will be made to MoFi Network by the method and at the recurring intervals You have agreed to, until the Subscription Service is terminated by You or by MoFi Network.
7.4 Late Payments. MoFi Network may suspend or terminate Your Services without notice upon rejection of any payment or if Your payment method issuer (or its agent or affiliate) seeks the return of payments previously made to MoFi Network. You agree MoFi Network may charge interest on all amounts due that remain unpaid for thirty (30) days or more. The monthly interest will equal up to one and one-half percent (1.5%) of the past-due amount or the highest rate allowed by applicable law, whichever is less, until the past-due amount and interest are paid. Such rights are in addition to and not in lieu of any other legal rights or remedies available to MoFi Network. MoFi Network may refer Your account to a third party for collection in the event of ongoing default.
8. CANCELLATION POLICY
8.1 Cancellation by You.
(a) Procedure. You may request cancellation of Your Subscription Services at any time by contacting MoFi Network at le***@*********rk.com or by calling +1-888-499-0123.
(b) Refund Policy. Unless otherwise specified in applicable Additional Terms:
- Free Trial Period. If You are participating in a trial-period offer, You must cancel the trial Service(s) by the end of the trial period to avoid incurring charges. If You do not cancel by the end of the trial period, MoFi Network will charge You for the Service(s) at the then-current rate.
- Prepaid Subscription. If You cancel after any applicable trial period, Your payment is non-refundable and Your Service will continue until the end of Your contracted term.
- Month-to-Month Subscription. If You cancel, Your payment for the current billing period is non-refundable and Your Service will continue until the end of that month’s billing period.
8.2 Termination by MoFi Network. Without limiting the generality of the foregoing, MoFi Network retains the absolute right to immediately disable and/or terminate Your Service at any time (without observing any notice period) if:
(a) You are in breach of any provision of these Terms and Conditions;
(b) You have demonstrated (regardless of whether directly or through Your actions or statements) that You do not intend to comply with these Terms and Conditions;
(c) Your payment is refused or reversed for any reason;
(d) You misuse the Services or Products;
(e) You alter Your system or use the Products or Services in a manner that infringes upon the intellectual property rights of MoFi Network or any third party;
(f) Any supplier or partner of MoFi Network providing the Services decides to terminate the provision of such Services;
(g) MoFi Network or any of its suppliers or partners are required by applicable law to terminate the provision of the Services or any part thereof; or
(h) As otherwise required by law.
Upon any such termination, You will remain obligated to pay all outstanding fees and charges relating to Your use of the Services before the effective date of such termination. MoFi Network is under no obligation to provide any refund, pro-rated or otherwise, upon termination of Your Service for any reason, unless required by applicable law.
8.3 Effect of Termination. Termination of the Services may result in the forfeiture, deletion, and destruction of all information, configurations, data, and content associated with Your account. You are solely responsible for backing up any data before cancellation or termination.
9. PRODUCT LICENSE AND SOFTWARE
9.1 License Grant. Subject to Your compliance with these Terms and Conditions, MoFi Network grants You a personal, non-exclusive, non-transferable, non-sublicensable, revocable, limited license to use the Software provided in connection with the Product solely for Your own personal or internal business use. Any unauthorized use of the Product for any purpose is prohibited.
9.2 Ownership. As between You and MoFi Network, MoFi Network owns all right, title, and interest in and to the Products, including without limitation all applicable intellectual property rights or other proprietary rights in such Products and in the associated devices, regardless of whether registered or legally secured. Except for the rights expressly granted to You in these Terms and Conditions, MoFi Network retains all rights in and to the Products.
9.3 License Restrictions. You may not:
(a) Reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purpose any Product or part thereof, including any use of the Product for commercial gain;
(b) Remove any proprietary notice, label, or marking from the Product;
(c) Make modifications to the Software, except where such rights cannot be excluded under applicable law;
(d) Attempt to gain unauthorized access to any portion or feature of the Product, or any other systems or networks connected to the Product, by hacking or any other illegitimate means;
(e) Grant any other user or third party a license to use the Product or otherwise access Your account;
(f) Use the Product to provide services to other users or any third parties on a commercial basis, unless expressly authorized by MoFi Network in writing;
(g) Assign, sublicense, grant a security interest in, loan, lease, or otherwise transfer the Product or any rights under it to any third party;
(h) Copy, edit, modify, reverse engineer, disassemble, decompile, or create derivative works of the Software (or any part of it), or attempt to extract the source code of the Software, unless expressly permitted by MoFi Network in writing or to the extent permitted under applicable law; or
(i) Use the Product in connection with any unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable activity, or to violate any applicable law or regulation.
9.4 Open Source Software. Certain components of the Software may be subject to the GNU General Public License (“GPL”) or other open source licenses (“Open Source Software”). Open Source Software is not subject to the restrictions in this Section 9. You are free to use, modify, and distribute Open Source Software that is subject to the GPL or other free or open source software licensing terms, so long as You comply with the applicable license terms (e.g., the GPL, available at www.gnu.org/copyleft/gpl.html). These Terms and Conditions do not limit Your rights under, or grant You rights that supersede, the license terms of any applicable Open Source Software.
10. SOFTWARE UPDATES
10.1 By using the Product, You agree to receive Software Updates and upgrades that MoFi Network sends to the Software included in the Product. You specifically agree that Your Product may: (a) communicate with MoFi Network servers from time to time to automatically check for available updates, such as bug fixes, critical system updates, patches, enhanced functions, upgrades, missing plug-ins, and new versions (collectively, “Software Updates”), and (b) install the Software Updates. Such Software Updates may be in various forms and are generally provided for the purposes of improving the performance, security, and reliability of the Product.
10.2 You acknowledge that failure to install Software Updates may result in degraded performance, security vulnerabilities, or loss of functionality. MoFi Network shall not be liable for any issues arising from Your failure to install available Software Updates.
10.3 MoFi Network is under no obligation to provide Software Updates for any Product indefinitely. MoFi Network may, at its sole discretion, discontinue providing Software Updates for certain Products or Product lines at any time. MoFi Network will make reasonable efforts to provide notice of end-of-support decisions.
11. VPN SERVICES
11.1 General. MoFi Network Products may include or support Virtual Private Network (“VPN”) functionality, including but not limited to WireGuard VPN, and other VPN protocols as may be supported from time to time (collectively, “VPN Services”). VPN Services are provided as part of the Product and are subject to these Terms and Conditions.
11.2 No Guarantee of Anonymity or Security. While VPN Services are designed to encrypt network traffic and provide tunneled connectivity, MoFi Network does not guarantee that VPN Services will render Your internet activity completely private, anonymous, untraceable, or secure. VPN Services are not a substitute for comprehensive security practices, and MoFi Network does not warrant that VPN Services will protect You from all threats, surveillance, data breaches, or interception.
11.3 Performance. VPN connection speed, reliability, and performance depend on numerous factors outside of MoFi Network’s control, including but not limited to Your internet connection speed, network congestion, geographic distance to VPN endpoints, the performance of third-party networks, and hardware limitations. MoFi Network does not guarantee any specific speed, throughput, latency, uptime, or connection reliability for VPN Services.
11.4 User Responsibility and Compliance with Laws. You are solely responsible for ensuring that Your use of VPN Services complies with all applicable local, provincial, state, national, and international laws and regulations in Your jurisdiction and in any jurisdiction from or to which You connect via the VPN. Certain jurisdictions restrict or prohibit the use of VPN services; it is Your sole responsibility to determine whether Your use of VPN Services is lawful. MoFi Network shall not be liable for any consequences arising from Your use of VPN Services in violation of any applicable law.
11.5 Prohibited Uses. You may not use VPN Services to:
(a) Engage in any unlawful, fraudulent, or malicious activity;
(b) Circumvent or attempt to circumvent any geographic restrictions, content access controls, or licensing restrictions in violation of applicable law or the terms of service of any third-party provider;
(c) Transmit any malware, viruses, or other harmful code;
(d) Interfere with or disrupt any network, server, or infrastructure;
(e) Engage in any activity that infringes the intellectual property rights of any third party; or
(f) Transmit spam, unsolicited communications, or engage in any denial-of-service activity.
11.6 Third-Party VPN Services. If You use third-party VPN software or services with MoFi Network Products, Your use of such third-party services is governed by the terms and conditions of the third-party provider. MoFi Network is not responsible for the functionality, security, privacy, or performance of any third-party VPN service.
11.7 No Liability. MOFI NETWORK SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, CLAIM, OR LIABILITY ARISING FROM OR RELATED TO YOUR USE OF VPN SERVICES, INCLUDING BUT NOT LIMITED TO ANY INTERCEPTION, COMPROMISE, OR EXPOSURE OF DATA TRANSMITTED THROUGH THE VPN, ANY INABILITY TO CONNECT OR MAINTAIN A VPN CONNECTION, OR ANY LEGAL CONSEQUENCES ARISING FROM YOUR USE OF VPN SERVICES.
12. CLOUDLINK SERVICES
12.1 General. MoFi Network may offer a static public IP address service known as “CloudLink” or similar branded connectivity services. CloudLink provides a remotely accessible public IP address for Your MoFi Network device through a tunneled connection.
12.2 Service Availability. CloudLink Services are provided on an “as is” and “as available” basis. MoFi Network does not guarantee uninterrupted availability, uptime, or reliability of CloudLink Services. The availability and performance of CloudLink depend on factors including but not limited to third-party data center operations, network infrastructure, internet backbone availability, and Your local internet connection.
12.3 Limitations. CloudLink Services may not support all network protocols, port ranges, or traffic types. Certain protocols or ports may be restricted, filtered, or blocked at the infrastructure level. MoFi Network does not guarantee that CloudLink will be suitable for all use cases, including but not limited to hosting of third-party VPN endpoints (e.g., IPsec), peer-to-peer applications, or high-bandwidth streaming.
12.4 Port Forwarding. Port forwarding through CloudLink requires proper configuration on both the MoFi Network device and, where applicable, the CloudLink service portal. MoFi Network is not responsible for port forwarding failures due to misconfiguration, protocol limitations, or infrastructure-level restrictions.
12.5 Security. You are solely responsible for securing any services exposed through CloudLink. MoFi Network is not responsible for unauthorized access to Your network, devices, or data that results from Your use of CloudLink or from the exposure of ports or services through CloudLink.
12.6 No Liability. MOFI NETWORK SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR CLAIM ARISING FROM YOUR USE OF CLOUDLINK SERVICES, INCLUDING BUT NOT LIMITED TO SERVICE OUTAGES, DATA LOSS, UNAUTHORIZED ACCESS, OR ANY INABILITY TO ACCESS YOUR DEVICE REMOTELY.
13. ACS REMOTE MANAGEMENT SERVICES
13.1 General. MoFi Network may provide an Auto-Configuration Server (“ACS”) platform for remote device management, monitoring, diagnostics, configuration, and firmware updates of MoFi Network Products (the “ACS Services”). ACS Services may be accessible through a web-based portal.
13.2 Data Collection. By using ACS Services, You acknowledge and consent to MoFi Network collecting, transmitting, storing, and processing device data, including but not limited to device identifiers, configuration parameters, firmware versions, connection status, signal strength, network interface data, and diagnostic information. Such data is collected for the purposes of providing, maintaining, and improving ACS Services and MoFi Network Products. MoFi Network’s collection and use of such data is subject to MoFi Network’s Privacy Policy.
13.3 Remote Access and Control. ACS Services may allow MoFi Network or its authorized personnel to remotely access, configure, update, restart, or otherwise control Your MoFi Network Product. By using ACS Services, You consent to such remote access and control. MoFi Network will use commercially reasonable efforts to protect the security of remote management communications, but MoFi Network does not guarantee that such communications will be completely secure from interception or unauthorized access.
13.4 Service Availability. ACS Services are provided on an “as is” and “as available” basis. MoFi Network does not guarantee the uninterrupted availability, accuracy, or timeliness of ACS Services. MoFi Network may modify, suspend, or discontinue ACS Services at any time without prior notice.
13.5 No Liability. MOFI NETWORK SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR CLAIM ARISING FROM THE USE OF ACS SERVICES, INCLUDING BUT NOT LIMITED TO MISCONFIGURATION, DATA LOSS, SERVICE OUTAGES, UNAUTHORIZED ACCESS, OR ANY ACTIONS TAKEN THROUGH THE ACS PLATFORM.
14. CELLULAR CONNECTIVITY AND MODEM SERVICES
14.1 General. MoFi Network Products may include or support cellular modem functionality, enabling internet connectivity through mobile carrier networks. MoFi Network provides the hardware and software to facilitate cellular connectivity but does not provide cellular network service.
14.2 Carrier Responsibility. MoFi Network is not a telecommunications carrier or mobile network operator. Your cellular connectivity is provided by Your chosen mobile carrier and is subject to that carrier’s terms of service, coverage, data plans, and pricing. MoFi Network is not responsible for and makes no warranties regarding carrier coverage, signal strength, data speeds, network availability, data plan charges, throttling, deprioritization, or any other aspect of Your carrier’s service.
14.3 SIM Card and Data Plan. You are solely responsible for obtaining, activating, and maintaining a compatible SIM card and data plan for use with MoFi Network Products. MoFi Network is not liable for any charges, fees, overage costs, or other expenses incurred through Your carrier or data plan.
14.4 Modem Compatibility. MoFi Network Products are designed to work with specific cellular modems and may support certain cellular technologies (e.g., 4G LTE, 5G). MoFi Network does not guarantee compatibility with all carriers, frequency bands, SIM cards, or data plans. Network technology standards and carrier requirements are subject to change, and devices that are compatible at one time may become incompatible in the future.
14.5 Signal and Performance. Cellular signal strength, connection stability, and data throughput are dependent on numerous factors outside MoFi Network’s control, including but not limited to geographic location, distance from cell towers, physical obstructions, network congestion, weather conditions, carrier network maintenance, and modem specifications. MoFi Network does not guarantee any specific signal strength, data speed, or connection reliability.
14.6 SMS Tools. MoFi Network Products may include SMS messaging tools that enable You to send and receive text messages through the cellular modem. You are solely responsible for ensuring that Your use of SMS tools complies with all applicable laws and regulations, including but not limited to anti-spam laws, do-not-call regulations, and carrier acceptable use policies. MoFi Network is not liable for any charges, fees, legal consequences, or carrier actions arising from Your use of SMS tools.
14.7 No Liability. MOFI NETWORK SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR CLAIM ARISING FROM CELLULAR CONNECTIVITY ISSUES, INCLUDING BUT NOT LIMITED TO LOSS OF CONNECTIVITY, DATA CHARGES, CARRIER DISPUTES, SIGNAL QUALITY, MODEM FAILURES, OR ANY INABILITY TO CONNECT TO A CELLULAR NETWORK.
15. MULTI-WAN, FAILOVER, AND LOAD BALANCING
15.1 General. MoFi Network Products may support Multi-WAN configurations, allowing the use of multiple internet connections simultaneously or as failover backups. This may include cellular connections, wired Ethernet WAN, WiFi-as-WAN (repeater mode), and other connection types. MoFi Network Products may also support load balancing across multiple connections.
15.2 No Guarantee of Uninterrupted Connectivity. While Multi-WAN and failover features are designed to improve network reliability, MoFi Network does not guarantee uninterrupted internet connectivity, seamless failover, zero-downtime transitions, or any specific level of redundancy. Failover transitions may involve brief interruptions, session drops, or IP address changes.
15.3 Configuration Responsibility. You are solely responsible for properly configuring Multi-WAN, failover, and load balancing settings. MoFi Network is not liable for connectivity issues, data loss, or service disruptions resulting from misconfiguration.
15.4 No Liability. MOFI NETWORK SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR CLAIM ARISING FROM THE FAILURE OF MULTI-WAN, FAILOVER, OR LOAD BALANCING FEATURES TO PERFORM AS EXPECTED, INCLUDING BUT NOT LIMITED TO LOSS OF CONNECTIVITY, SESSION INTERRUPTIONS, OR DATA LOSS DURING FAILOVER EVENTS.
16. CAPTIVE PORTAL
16.1 General. MoFi Network Products may include Captive Portal functionality, which enables You to create a login or splash page for guest WiFi users. Captive Portal may be used to restrict, manage, or control access to Your network.
16.2 User Responsibility. You are solely responsible for the content displayed on Your Captive Portal, including any terms of use, privacy notices, or disclaimers presented to guest users. You are responsible for ensuring that Your Captive Portal complies with all applicable laws and regulations, including but not limited to privacy laws, data protection regulations, and accessibility requirements.
16.3 Guest User Data. To the extent that You collect any personal information from guest users through the Captive Portal, You are the data controller for such information and are solely responsible for its lawful collection, use, storage, and protection. MoFi Network is not responsible for any personal data collected through Your Captive Portal.
16.4 No Liability. MOFI NETWORK SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, CLAIM, OR LIABILITY ARISING FROM YOUR USE OF THE CAPTIVE PORTAL, INCLUDING BUT NOT LIMITED TO CLAIMS BY GUEST USERS, DATA PRIVACY VIOLATIONS, UNAUTHORIZED ACCESS, OR ANY CONTENT DISPLAYED ON YOUR CAPTIVE PORTAL.
17. WIFI PERFORMANCE AND NETWORK SECURITY
17.1 WiFi Performance. MoFi Network Products may include WiFi (wireless networking) functionality. WiFi performance, including signal range, speed, and reliability, is dependent on numerous factors outside MoFi Network’s control, including but not limited to: physical environment (walls, floors, distance, building materials), interference from other wireless devices and networks, number of connected clients, device capabilities, frequency band congestion, and regulatory power limits in Your jurisdiction. MoFi Network does not guarantee any specific WiFi range, speed, throughput, or number of simultaneous connections. Advertised WiFi speeds represent theoretical maximums under ideal conditions and are not guaranteed in real-world use.
17.2 Network Security Features. MoFi Network Products may include firewall, encryption, access control, and other network security features. These features are designed to help protect Your network but DO NOT GUARANTEE SECURITY. No security system is impenetrable. MoFi Network does not warrant that its security features will prevent all unauthorized access, data breaches, hacking, malware, or other security threats. You are solely responsible for implementing appropriate security measures for Your network, including but not limited to using strong passwords, keeping firmware updated, and monitoring network activity.
17.3 No Liability. MOFI NETWORK SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, OR CLAIM ARISING FROM WIFI PERFORMANCE, NETWORK SECURITY BREACHES, UNAUTHORIZED ACCESS TO YOUR NETWORK, DATA THEFT, OR ANY OTHER SECURITY INCIDENT, REGARDLESS OF WHETHER MOFI NETWORK’S SECURITY FEATURES WERE ENABLED AT THE TIME OF THE INCIDENT.
18. COMPATIBLE DEVICES AND SYSTEM REQUIREMENTS
18.1 Use of some MoFi Network Products and Services may require You to use devices, software, or systems that meet certain compatibility and system requirements. MoFi Network reserves the right to change these requirements at any time. Whether a device or system is compatible may depend on software, firmware, or systems provided or maintained by third parties. Accordingly, devices and systems that are compatible at one time may cease to be compatible in the future due to changes in third-party software, operating systems, carrier requirements, or hardware standards. MoFi Network is not liable for any loss of functionality or compatibility resulting from changes made by third parties.
19. ONLINE STORE AND E-COMMERCE TERMS
19.1 Applicability. This Section applies to purchases of MoFi Network Products made through MoFi Network’s official website (mofinetwork.com) or MoFi Network’s official Amazon storefront.
19.2 Order Confirmation. An order confirmation does not signify MoFi Network’s acceptance of Your order, nor does it constitute confirmation of an offer to sell. MoFi Network may accept, decline, or place quantity or other limits on Your order for any reason. If MoFi Network cancels an order or part of an order that has already been charged, MoFi Network will refund the full amount of the cancelled portion.
19.3 Pricing. MoFi Network makes reasonable efforts to display accurate pricing. However, prices and promotions are subject to change without notice. In the event of a pricing error, MoFi Network reserves the right to cancel the order and refund the amount charged.
19.4 Taxes. You are responsible for all applicable sales taxes, duties, levies, and other governmental charges associated with Your purchase. MoFi Network will collect and remit applicable sales taxes where required by law. Tax amounts are calculated at the time of shipment based on the shipping destination.
19.5 Shipping, Delivery, and Risk of Loss. MoFi Network will ship Products using a third-party carrier. Title to the Products and risk of loss will pass to You upon MoFi Network’s delivery of the Products to the carrier. All estimated shipping and delivery dates are estimates only. MoFi Network will not be liable for any loss, damage, or penalty resulting from any delay in shipment or delivery.
19.6 Returns and Refunds — 30-Day Money-Back Guarantee.
(a) Eligibility. MoFi Network offers a thirty (30) day money-back guarantee from the date of original purchase. To qualify for a return, the router, retail box, and all included accessories must be returned in like-new condition. “Like-new condition” means the device is free from scratches, dents, or other damage, and all accessories, manuals, and original packaging are included and undamaged.
(b) Return Procedure. To initiate a return, You must contact MoFi Network by email with Your order number and reason for return. MoFi Network will provide You with a prepaid return shipping label. You must use the return label provided by MoFi Network to ship the item back; direct returns sent without a MoFi Network-issued return label will not be accepted and may be refused or returned to sender at Your expense.
(c) Return Shipping Charges. The original shipping fee paid at the time of purchase is non-refundable. A return shipping charge will be deducted from Your refund as follows: (i) $14.99 USD for customers in Canada and the contiguous United States; (ii) $39.99 USD for customers in Hawaii, Puerto Rico, and Alaska; and (iii) for returns from all other countries, You must contact MoFi Network to determine the applicable return shipping cost, as international shipping charges vary. MoFi Network reserves the right to modify return shipping charges at any time; current charges will be communicated to You at the time of return authorization.
(d) Shipping Costs for Defective or Non-Functioning Products. This return policy applies regardless of the reason for the return, including if the Product is not functioning properly or if Your carrier plan does not work with the router. In all cases, including returns of defective or non-functioning Products, You are responsible for return shipping costs as set forth in Section 19.6(c). If You receive a damaged or defective unit, MoFi Network may offer an exchange at its sole discretion; however, if You choose to return the Product for a refund rather than accept an exchange, You will be responsible for shipping costs in both directions.
(e) Restocking Fee. If the returned Product is scratched, dented, damaged, or if any accessories, manuals, or the original retail box are missing or damaged, a restocking fee may be applied at MoFi Network’s sole discretion and deducted from Your refund. Additionally, MoFi Network reserves the right to charge a restocking fee for any Product returned after the initial thirty (30) day return period.
(f) One Return Per Household. To prevent abuse, only one (1) return per household is permitted within the thirty (30) day return period without a restocking charge. If You need to return a Product and wish to place another order, You must contact MoFi Network first to discuss the reason for reordering. MoFi Network reserves the right to deny additional returns or apply restocking fees at its sole discretion.
(g) Multiple Unit Orders. If You order two (2) or more Products in a single order or within a short period of time, the second unit and any additional units beyond the first will be subject to a minimum restocking fee of twenty percent (20%) of the purchase price upon return. This policy is designed to deter abuse and ensure that customers only order multiple units if they are certain of their purchase.
(h) Refund Processing. Once MoFi Network receives the returned Product, processing typically takes three (3) to five (5) business days. Refunds will be credited to Your original payment method and will typically appear on Your statement within five (5) to seven (7) business days after processing. Refunds are calculated as the original purchase price, minus the original non-refundable shipping fee, minus the applicable return shipping charge, and minus any applicable restocking fee.
(i) Non-Returnable Items. Opened software, downloadable products, subscription services, SIM cards, and any items explicitly marked as non-returnable at the time of purchase are not eligible for return or refund unless verified as defective by MoFi Network in its sole discretion.
(j) Right to Refuse. MoFi Network reserves the right to refuse any return that does not comply with this Section 19.6, including but not limited to Products returned without authorization, Products not in like-new condition, or returns that MoFi Network reasonably believes constitute abuse of the return policy.
19.7 Quantity Limits. MoFi Network reserves the right to limit the quantity of Products available for purchase and to refuse or cancel orders that appear to be placed by resellers, dealers, or automated purchasing systems.
19.8 Fraud. MoFi Network reserves the right to cancel, delay, refuse to ship, or recall from the shipper any order if fraud is suspected, without notice to You.
20. ELECTRONIC COMMUNICATIONS CONSENT
20.1 By using MoFi Network Products, creating an account, or making a purchase, You consent to receive electronic communications from MoFi Network, including but not limited to: order confirmations, shipping notifications, account notifications, product updates, firmware update notices, security alerts, service announcements, and, where permitted by applicable law, promotional communications.
20.2 You may opt out of promotional communications at any time by following the unsubscribe instructions in any promotional email or by contacting MoFi Network at le***@*********rk.com. Opting out of promotional communications will not affect Your receipt of transactional or service-related communications that are necessary for the use of the Products.
21. REGISTRATION AND ACCOUNT DATA
21.1 Registration. Certain Products or functionality may require You to register and create an account (including setting up a username and password, and providing registration information such as Your name, email address, and device identification numbers) (collectively, “Account Data”). You agree to: (a) provide and maintain accurate, complete, and up-to-date registration information; (b) protect and prevent unauthorized access to Your account; (c) not transfer or share Your account with any third party; and (d) notify MoFi Network immediately of any suspected or actual unauthorized use of Your account or breach of security. MoFi Network may terminate Your account if You fail to abide by these obligations.
21.2 Protection of Account Data. You are entirely responsible for maintaining the confidentiality of Your Account Data and for all activity that occurs under Your account. MoFi Network may regard any instructions received from or issued by a user using Your Account Data as having been authorized by You.
21.3 Data Analytics. You agree that MoFi Network may collect and use technical data and related information, including but not limited to technical information about Your device, such as log entries, diagnostics, bandwidth usage, WiFi usage, signal data, performance information, and various other analytics. This data is gathered to facilitate the provision of Product support and improvements. MoFi Network may use this information to improve its Products or to provide additional services or technologies to You, subject to MoFi Network’s Privacy Policy.
21.4 Data Connections. Some Products require a broadband internet connection or a mobile data connection. You are responsible for any service charges for Your internet connection or data plan incurred as a result of using or accessing the Products. MoFi Network is not responsible for and does not make any assurances about the availability, functionality, or cost of any internet connection or data plan.
22. PRIVACY AND PROTECTION OF PERSONAL DATA
22.1 Privacy Policy. By using MoFi Network Products, You understand and consent to MoFi Network’s collection, storage, and use of Your data in accordance with MoFi Network’s Privacy Policy. We encourage You to review the Privacy Policy frequently.
22.2 Compliance with Data Protection Laws. Each party shall comply with its respective obligations under applicable data protection laws (“DPL”). MoFi Network may comply with requests for information from legitimate judicial, legal, or regulatory authorities or pursuant to a court order, subpoena, discovery request, or other lawful process. MoFi Network may comply with such requests with or without prior notice to You.
23. CHILDREN’S PRIVACY
YOU MUST BE AT LEAST EIGHTEEN (18) YEARS OF AGE TO CREATE A MOFI NETWORK ACCOUNT OR PURCHASE MOFI NETWORK PRODUCTS. MOFI NETWORK DOES NOT KNOWINGLY COLLECT OR SOLICIT PERSONAL INFORMATION FROM ANYONE UNDER THE AGE OF 18. IF YOU ARE UNDER EIGHTEEN (18) YEARS, DO NOT ATTEMPT TO CREATE A MOFI NETWORK ACCOUNT OR SEND ANY INFORMATION ABOUT YOURSELF TO US WITHOUT PARENTAL CONSENT. IF MOFI NETWORK LEARNS THAT WE HAVE COLLECTED PERSONAL INFORMATION FROM A PERSON UNDER EIGHTEEN (18) YEARS OF AGE WITHOUT VERIFICATION OF PARENTAL CONSENT, WE WILL DELETE SUCH INFORMATION. IF YOU BELIEVE THAT WE HAVE ANY INFORMATION FROM OR ABOUT A CHILD UNDER EIGHTEEN (18) YEARS OF AGE, PLEASE CONTACT US AT LE***@*********RK.COM.
24. LIMITATIONS ON USE
24.1 Prohibited Uses. In connection with Your use of the Product, You will not:
(a) Reproduce, duplicate, copy, sell, trade, resell, or exploit for any commercial purpose any Product or part thereof;
(b) Remove any proprietary notice language corresponding to the Product;
(c) Attempt to gain unauthorized access to any portion or feature of the Product, or any other systems or networks connected to the Product, by hacking or any other illegitimate means;
(d) Use the Product to: (i) upload, post, transmit, or make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or invasive of another’s privacy; (ii) impersonate any person or entity; (iii) forge headers or otherwise manipulate identifiers to disguise the origin of any content; (iv) upload or transmit any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights; (v) transmit any unsolicited advertising, spam, or chain letters; (vi) interfere with or disrupt the Products, servers, or networks (including denial-of-service attacks); (vii) intentionally or unintentionally violate any applicable law; or (viii) stalk or harass another person;
(e) Use the Product in the operation of nuclear facilities, life support systems, emergency communications, aircraft navigation or communication systems, air traffic control systems, weapons systems, or any other activity in which the failure of the Product could lead to death, serious personal injury, or severe physical or environmental damage; and
(f) Use automated tools (including scripts, bots, or web crawlers) to access the Product or Services, unless expressly authorized by MoFi Network.
25. TRADEMARKS
25.1 You are not entitled to use any of MoFi Network’s trade names, trademarks, service marks, logos, domain names, or other distinctive brand features (“MoFi Network Brands”) without MoFi Network’s prior written consent.
25.2 You are not permitted to remove, obscure, conceal, modify, or otherwise alter any proprietary rights notices, trademarks, service marks, trade names, logos, or other marks of MoFi Network or any third party which pertain to, are affixed to, or are contained within the Products.
26. CONTENT AND THIRD-PARTY SERVICES
26.1 Third-Party Content. The Products may contain content from or links to content resources and services of third parties. MoFi Network is not responsible for, does not endorse, and has no control over any third-party content provided, made available, or displayed through the Products. MoFi Network is not responsible or liable, directly or indirectly, for any damage or loss caused by or in connection with Your use of or reliance on any third-party content.
26.2 Third-Party Products and Services. Your use of any third-party products, services, or software in connection with MoFi Network Products is subject to the terms and conditions of the respective third-party provider. MoFi Network is not liable or responsible for any third-party products, services, or software.
27. YOUR REPRESENTATIONS AND WARRANTIES; INDEMNIFICATION
27.1 Representations. You represent and warrant that: (a) You have the legal authority and capacity to enter into these Terms and Conditions; (b) You will comply with all applicable laws in connection with Your use of the Products; and (c) You will not use the Products in any manner that could damage, disable, overburden, or impair MoFi Network’s servers or networks.
27.2 Indemnification. YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS MOFI NETWORK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AFFILIATES, AND SUBSIDIARIES FROM AND AGAINST ANY AND ALL CLAIMS, PROCEEDINGS, INJURIES, LIABILITIES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS’ FEES AND COSTS), INCLUDING BUT NOT LIMITED TO CLAIMS ALLEGING NEGLIGENCE, INVASION OF PRIVACY, COPYRIGHT INFRINGEMENT, TRADEMARK INFRINGEMENT, AND/OR ANY VIOLATION OF LAW, RELATING TO OR ARISING OUT OF: (A) YOUR BREACH OF YOUR REPRESENTATIONS, WARRANTIES, OR OBLIGATIONS UNDER THESE TERMS AND CONDITIONS; (B) YOUR MISUSE OF THE PRODUCTS OR SERVICES; (C) YOUR UNAUTHORIZED MODIFICATION OR ALTERATION OF ANY MOFI NETWORK PRODUCT; (D) YOUR VIOLATION OF ANY APPLICABLE LAW OR REGULATION; (E) ANY DATA OR CONTENT YOU TRANSMIT, STORE, OR PROCESS THROUGH THE PRODUCTS; OR (F) ANY CLAIM BY A THIRD PARTY RELATED TO YOUR USE OF THE PRODUCTS OR SERVICES.
28. DISCLAIMER OF WARRANTIES
28.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PRODUCTS (INCLUDING ANY DOCUMENTS, MATERIALS, SOFTWARE, AND FIRMWARE UPDATES DOWNLOADED, INSTALLED, OR OTHERWISE OBTAINED THROUGH THE USE OF THE PRODUCTS) ARE PROVIDED BY MOFI NETWORK ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND YOUR USE OF THE PRODUCT IS AT YOUR OWN RISK. YOU ASSUME ALL RISK AND RESPONSIBILITY ASSOCIATED WITH THE USE, CONFIGURATION, DEPLOYMENT, AND OPERATION OF THE PRODUCTS, INCLUDING BUT NOT LIMITED TO THE RISK OF DATA LOSS, NETWORK DOWNTIME, SECURITY BREACHES, PROPERTY DAMAGE, AND ANY OTHER CONSEQUENCES ARISING FROM YOUR USE OF THE PRODUCTS. MOFI NETWORK IS NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR DEVICES, COMPUTER SYSTEMS, OR OTHER EQUIPMENT, OR ANY LOSS OF DATA THAT IS CAUSED BY OR RESULTS FROM THE DOWNLOAD AND/OR USE OF ANY PRODUCT.
28.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOFI NETWORK AND ITS SUPPLIERS, LICENSORS, AND PARTNERS DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, REGARDING THE PRODUCTS, INCLUDING ANY IMPLIED WARRANTY OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT OF THIRD-PARTY RIGHTS. MOFI NETWORK HEREBY FURTHER EXPRESSLY DISCLAIMS ALL LIABILITY FOR ANY CLAIMS FOR PRODUCT FAILURES THAT ARE DUE TO NORMAL PRODUCT WEAR, PRODUCT MISUSE, ABUSE, PRODUCT MODIFICATION, IMPROPER PRODUCT SELECTION, OR YOUR NON-COMPLIANCE WITH APPLICABLE LAW.
28.3 MOFI NETWORK DOES NOT WARRANT THAT: (A) THE PRODUCT WILL MEET YOUR REQUIREMENTS; (B) USE OF THE PRODUCT WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (C) ANY INFORMATION OBTAINED THROUGH THE PRODUCT WILL BE ACCURATE OR RELIABLE; (D) ANY DEFECTS IN THE PRODUCT WILL BE CORRECTED; OR (E) THE PRODUCT WILL BE COMPATIBLE WITH ANY SPECIFIC HARDWARE, SOFTWARE, OR SERVICE.
28.4 YOU AGREE THAT MOFI NETWORK IS NOT AN INSURER AND THAT MOFI NETWORK IS NOT PROVIDING YOU WITH INSURANCE OF ANY TYPE. ANY AMOUNTS THAT YOU PAY MOFI NETWORK FOR THE PRODUCT ARE NOT INSURANCE PREMIUMS AND ARE NOT RELATED TO THE VALUE OF YOUR PROPERTY OR ANY RISK OF LOSS. IF YOU WANT INSURANCE TO PROTECT AGAINST ANY RISK OF LOSS, YOU WILL PURCHASE IT SEPARATELY. IN THE EVENT OF ANY LOSS, DAMAGE, OR INJURY, YOU WILL NOT LOOK TO MOFI NETWORK TO COMPENSATE YOU OR ANYONE ELSE. YOU RELEASE AND WAIVE FOR YOURSELF AND YOUR INSURER ALL SUBROGATION AND OTHER RIGHTS TO RECOVER AGAINST MOFI NETWORK ARISING AS A RESULT OF THE PAYMENT OF ANY CLAIM FOR LOSS, DAMAGE, OR INJURY.
28.5 MOFI NETWORK’S DEVICES AND SERVICES DO NOT CAUSE AND CANNOT ELIMINATE OCCURRENCES OF CERTAIN EVENTS, INCLUDING BUT NOT LIMITED TO NETWORK INTRUSIONS, DATA BREACHES, SERVICE OUTAGES, NATURAL DISASTERS, FIRES, FLOODS, OR EQUIPMENT FAILURES. MOFI NETWORK MAKES NO GUARANTEE OR WARRANTY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, THAT THE DEVICES AND SERVICES PROVIDED WILL DETECT OR AVERT SUCH INCIDENTS OR THEIR CONSEQUENCES.
28.6 THIS WARRANTY DISCLAIMER GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER RIGHTS THAT VARY BY JURISDICTION. TO THE EXTENT PERMITTED BY APPLICABLE LAW, MOFI NETWORK DOES NOT EXCLUDE, LIMIT, OR SUSPEND OTHER RIGHTS YOU HAVE UNDER MANDATORY CONSUMER PROTECTION LAWS IN YOUR JURISDICTION.
29. LIMITATION OF LIABILITY
29.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MOFI NETWORK, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, AFFILIATES, OR SUBSIDIARIES BE LIABLE TO YOU OR ANY THIRD PARTY, REGARDLESS OF THE LEGAL THEORY (WHETHER IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY, WARRANTY, OR OTHERWISE), AND WHETHER OR NOT MOFI NETWORK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, FOR:
(a) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES;
(b) ANY LOSS OF INCOME, REVENUE, BUSINESS, ACTUAL OR ANTICIPATED PROFITS, OPPORTUNITY, GOODWILL, OR REPUTATION (WHETHER DIRECT OR INDIRECT);
(c) ANY DAMAGE TO OR CORRUPTION OR LOSS OF DATA (WHETHER DIRECT OR INDIRECT);
(d) ANY COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES;
(e) ANY LOSS OR DAMAGE ARISING FROM:
(i) ANY BREACH OF THESE TERMS AND CONDITIONS OR ANY OTHER AGREEMENT BETWEEN MOFI NETWORK AND YOU;
(ii) ANY RELIANCE PLACED BY YOU ON THE SUITABILITY, ACCURACY, COMPLETENESS, RELIABILITY, OR EXISTENCE OF THE PRODUCTS;
(iii) ANY CONTENT, INCLUDING THE LOSS OF CONTENT, ANY ERRORS OR OMISSIONS IN CONTENT, OR ANY LOSS OR DAMAGE INCURRED IN CONNECTION WITH USE OF OR EXPOSURE TO ANY CONTENT ACCESSED THROUGH THE PRODUCTS;
(iv) ANY CHANGES, MODIFICATIONS, SUSPENSION, OR DISCONTINUATION OF THE PRODUCTS OR ANY PART THEREOF;
(v) THE USE OF YOUR ACCOUNT DATA BY ANY OTHER PERSON (WHETHER WITH OR WITHOUT YOUR KNOWLEDGE);
(vi) ANY FAILURE OF CELLULAR CONNECTIVITY, VPN SERVICES, CLOUDLINK SERVICES, ACS SERVICES, CAPTIVE PORTAL, MULTI-WAN FAILOVER, OR ANY OTHER SERVICE OR FEATURE; OR
(vii) ANY THIRD-PARTY PRODUCTS, SERVICES, OR CONTENT ACCESSED THROUGH OR IN CONNECTION WITH THE PRODUCTS.
29.2 AGGREGATE LIABILITY CAP. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOFI NETWORK’S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS AND CONDITIONS OR THE PRODUCTS, REGARDLESS OF THE FORM OF ACTION, SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS ACTUALLY PAID BY YOU TO MOFI NETWORK FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).
29.3 Exceptions. Nothing in these Terms and Conditions shall exclude or limit MoFi Network’s liability for:
(a) Death or personal injury resulting from MoFi Network’s negligence;
(b) Fraud or fraudulent misrepresentation; or
(c) Any other liability that may not be lawfully excluded or limited under applicable mandatory law.
29.4 Jurisdictional Variations. If the laws in Your jurisdiction do not allow the exclusion of certain warranties, terms, or conditions, or the limitation or exclusion of liability for certain losses or damages, only the limitations which are lawful in that jurisdiction will apply, and MoFi Network’s liability and warranty will be limited to the maximum extent permitted by applicable law.
30. LIMITED HARDWARE WARRANTY
30.1 Warranty Coverage. MoFi Network, Inc. warrants to the original purchaser only (“Original Purchaser”) that MoFi Network hardware products purchased directly from MoFi Network’s official website (mofinetwork.com) or MoFi Network’s official Amazon storefront (“Authorized Purchase Channels”) will be free from defects in materials and workmanship under normal use for a period of one (1) year from the date of original retail purchase (“Limited Hardware Warranty” or “Warranty Period”).
30.2 Eligibility — Direct Purchases Only. THIS LIMITED HARDWARE WARRANTY APPLIES EXCLUSIVELY TO MOFI NETWORK PRODUCTS PURCHASED DIRECTLY FROM MOFI NETWORK THROUGH THE AUTHORIZED PURCHASE CHANNELS LISTED IN SECTION 26.1. THIS WARRANTY DOES NOT APPLY TO AND MOFI NETWORK SHALL HAVE NO WARRANTY OBLIGATIONS WHATSOEVER WITH RESPECT TO PRODUCTS:
(a) Purchased from unauthorized resellers, distributors, or third-party sellers (whether online or in physical retail stores);
(b) Purchased from any marketplace, platform, or seller other than MoFi Network’s official website or MoFi Network’s official Amazon storefront, even if the seller claims to be an authorized dealer;
(c) Purchased secondhand, used, refurbished (unless purchased as refurbished directly from MoFi Network), or obtained through any transfer from the Original Purchaser to a subsequent owner;
(d) For which proof of purchase from an Authorized Purchase Channel cannot be provided; or
(e) Where the serial number has been altered, defaced, or removed.
30.3 Non-Transferable. This Limited Hardware Warranty is personal to the Original Purchaser and is non-transferable. Any sale, transfer, or other disposition of the Product to a third party does not transfer the warranty. The warranty applies only to the individual or entity that originally purchased the Product from an Authorized Purchase Channel.
30.4 Remedies. If during the Warranty Period a manufacturing defect arises and a valid warranty claim is received, MoFi Network will, at its sole option and to the extent permitted by law, either: (a) repair the Product using new or refurbished replacement parts; or (b) replace the Product with a new or refurbished product that is functionally equivalent. MoFi Network reserves the right to charge for shipping, handling, parts, labor, or other costs associated with warranty service at its sole discretion. THESE ARE YOUR SOLE AND EXCLUSIVE REMEDIES UNDER THIS WARRANTY. Any replacement product will be warranted for the remainder of the original Warranty Period or thirty (30) days, whichever is longer.
30.5 Warranty Claim Procedure. To obtain service under this Limited Hardware Warranty, You must contact MoFi Network at le***@*********rk.com or +1-888-499-0123. MoFi Network may require You to: (a) provide proof of purchase from an Authorized Purchase Channel (e.g., order confirmation, receipt, or invoice); (b) provide a description of the defect; (c) obtain a Return Merchandise Authorization (RMA) number before returning any Product; and (d) ship the Product to MoFi Network at Your expense. Shipping costs for both inbound and outbound shipments related to warranty service are Your responsibility unless MoFi Network determines otherwise at its sole discretion.
30.6 Exclusions. This Limited Hardware Warranty does not apply to:
(a) Cosmetic damage, including scratches, dents, and broken housings or ports;
(b) Damage caused by accident, abuse, misuse, mishandling, flood, fire, earthquake, or other external causes;
(c) Normal wear and tear or aging of the Product;
(d) Damage caused by operating the Product: (i) outside the permitted or intended uses described by MoFi Network; (ii) not in accordance with instructions provided by MoFi Network; or (iii) with improper voltage or power supply;
(e) Damage caused by service, alteration, modification, or repair performed by anyone other than MoFi Network or a MoFi Network-authorized service provider;
(f) Products with removed, altered, or illegible serial numbers;
(g) Consumable parts (e.g., antennas, cables, power adapters) unless the damage is due to a defect in materials or workmanship;
(h) Products on which any person other than MoFi Network or its authorized agents has attempted repairs or modifications;
(i) Software, firmware, or any data stored on the Product; or
(j) Damage caused by use with non-MoFi Network products or accessories not recommended by MoFi Network.
30.7 Disclaimer. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LIMITED HARDWARE WARRANTY AND REMEDIES SET FORTH ABOVE ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES AND REMEDIES, AND MOFI NETWORK SPECIFICALLY DISCLAIMS ALL STATUTORY OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND AGAINST HIDDEN OR LATENT DEFECTS. IF MOFI NETWORK CANNOT LAWFULLY DISCLAIM STATUTORY OR IMPLIED WARRANTIES, THEN TO THE EXTENT PERMITTED BY LAW, ALL SUCH WARRANTIES SHALL BE LIMITED IN DURATION TO THE DURATION OF THIS EXPRESS LIMITED HARDWARE WARRANTY AND TO REPAIR OR REPLACEMENT SERVICE. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG A STATUTORY OR IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
31. FORCE MAJEURE
31.1 MoFi Network is not liable or responsible for any failure to perform, or delay in performance of, any of MoFi Network’s obligations under these Terms and Conditions that is caused by events outside MoFi Network’s reasonable control (“Force Majeure Event”), including without limitation: (a) unavailability of public or private telecommunication networks; (b) acts, decrees, legislation, regulations, or restrictions of any government; (c) strikes, lock-outs, or other industrial action; (d) civil commotion, riot, invasion, terrorist attacks, or threats thereof; (e) war (whether declared or not); (f) natural disasters including but not limited to earthquakes, floods, fires, hurricanes, and pandemics; (g) failures or delays of third-party suppliers, carriers, or service providers; or (h) cyberattacks, including distributed denial-of-service attacks.
31.2 MoFi Network’s performance under these Terms and Conditions is deemed to be suspended for the period that a Force Majeure Event continues, and MoFi Network will have an extension of time for performance for the duration of that period.
32. INTELLECTUAL PROPERTY CLAIMS
32.1 MoFi Network respects the intellectual property of others and requires its users to do the same. If You believe that Your copyrighted work or other intellectual property has been infringed, please provide the following information to le***@*********rk.com:
(a) An electronic or physical signature of the person authorized to act on behalf of the copyright or intellectual property owner;
(b) A description of the copyrighted work or intellectual property that You claim has been infringed;
(c) A description of where the allegedly infringing material is located;
(d) Your address, telephone number, and email address;
(e) A statement by You that You have a good faith belief that the disputed use is not authorized by the owner, its agent, or the law; and
(f) A statement by You, made under penalty of perjury, that the above information is accurate and that You are the owner or authorized to act on the owner’s behalf.
33. EXPORT COMPLIANCE
33.1 You agree to comply with all applicable export and import laws and regulations, including but not limited to the export control laws of Canada, the United States, and any other applicable jurisdiction. You represent and warrant that You are not located in a country subject to a government embargo, and that You are not listed on any government list of prohibited or restricted parties. You will not use, export, or re-export any MoFi Network Product in violation of any applicable law or regulation.
34. GOVERNING LAW AND JURISDICTION
34.1 These Terms and Conditions and the relationship between You and MoFi Network will be governed by and construed in accordance with the laws of the State of California, United States of America, without regard to its conflict of law provisions. MoFi Network’s Products and relationship with You involve interstate and international commerce, and the arbitration agreement in Section 4 is governed by the Federal Arbitration Act (9 U.S.C. §§ 1 et seq.).
34.2 Subject to the arbitration provisions of Section 4, any dispute arising out of or relating to these Terms and Conditions that is not subject to arbitration shall be resolved in accordance with the laws of the State of California as set forth in Section 34.1.
34.3 Consumer Protection Savings Clause. Nothing in this Section 30 is intended to deprive You of the protection afforded by mandatory provisions of consumer protection legislation in Your jurisdiction that cannot be overridden by agreement.
35. GENERAL PROVISIONS
35.1 Entire Agreement. These Terms and Conditions constitute the entire agreement between You and MoFi Network and govern Your use of the Products, superseding any prior agreements between You and MoFi Network with respect to the Products. You may also be subject to Additional Terms that apply when You use certain other services, products, affiliate services, or third-party content.
35.2 Waiver and Severability. The failure of MoFi Network to exercise or enforce any right or provision of these Terms and Conditions will not constitute a waiver of such right or provision. If any provision of these Terms and Conditions is found by a court or arbitrator of competent jurisdiction to be invalid or unenforceable, the parties agree that the court or arbitrator should endeavor to give effect to the parties’ intentions as reflected in the provision, and the remaining provisions shall remain in full force and effect.
35.3 Assignment. You may not transfer, assign, or otherwise dispose of these Terms and Conditions or any of Your rights or obligations arising hereunder without the prior written consent of MoFi Network. MoFi Network may transfer, assign, or otherwise dispose of these Terms and Conditions without Your consent.
35.4 No Right of Survivorship and Non-Transferability. You agree that Your Products are non-transferable and any rights to Your account or content within Your account terminate upon Your death. Upon receipt of a copy of a death certificate, Your Products and related accounts may be terminated and content therein permanently deleted.
35.5 Third-Party Beneficiaries. Each of MoFi Network’s affiliates and subsidiaries is an intended third-party beneficiary to the provisions of these Terms and Conditions that confer a benefit on (or rights in favor of) them. Such affiliates and subsidiaries will be entitled to directly enforce and rely upon any provision of these Terms and Conditions that confers a benefit on (or rights in favor of) them. Except as set forth in this Section, no other person will be a third-party beneficiary to these Terms and Conditions.
35.6 Interpretation. The section titles in these Terms and Conditions are for convenience only and have no legal or contractual effect. The words “include” and “including” are not limiting.
35.7 Language. The language of these Terms and Conditions is English. In the event that MoFi Network provides a translation, the English language version takes precedence over any translation version in the event of any conflict.
35.8 Notices. All notices to MoFi Network under these Terms and Conditions should be sent to le***@*********rk.com. MoFi Network may provide notices to You by email to the address associated with Your account, by posting on MoFi Network’s website, or by other reasonable means.
35.9 Independent Contractors. Nothing in these Terms and Conditions creates a partnership, joint venture, agency, or employment relationship between You and MoFi Network.
35.10 Headings. All headings are for reference purposes only and do not affect the interpretation of these Terms and Conditions.
36. SURVIVAL
36.1 The following Sections will survive any termination or expiration of these Terms and Conditions: Sections 4, 9.2, 9.3, 11, 12, 13, 14, 15, 16, 17, 18, 19, 22, 24, 25, 26, 27, 28, 29, 30, 31, 32, 33, 34, 35, 36, and 37.
